1. Introduction

Welcome to TechBridge ("we", "our" or "us"). By accessing our website, engaging our IT consulting services, or using our digital platforms (the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully before using our Services.

If you do not agree with these Terms, you may not access or use the Services. These Terms form a legally binding agreement between you and TechBridge, operating in India.

2. Definitions

• "Company" means TechBridge, its group entities, employees, consultants, and digital platforms.
• "Client" or "User" means any individual or organisation that accesses the website or uses the Services.
• "Engagement" means any IT consulting, advisory, implementation, support, or related professional services provided by TechBridge under these Terms or a separate statement of work.
• "Deliverables" means any reports, configurations, documents, code, or other outputs provided by TechBridge as part of the Services, subject to the applicable agreement.

3. Eligibility and Registration

To use our Services, you must be at least 18 years old or have legal capacity under applicable Indian law. By creating an account or entering into an engagement, you confirm that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised use of your account. TechBridge is not liable for any loss or damage arising from your failure to protect your account information.

4. Code of Conduct

TechBridge expects all Clients and Users to maintain professional, lawful, and respectful behaviour. By using our Services, you agree NOT to:

• Engage in any activity that disrupts, degrades, or interferes with the proper functioning or security of our website, systems, or client environments.
• Harass, abuse, threaten, or otherwise mistreat TechBridge personnel, partners, or other users.
• Attempt to bypass, manipulate, or misuse any access controls, usage limits, billing mechanisms, or performance metrics related to the Services.
• Transmit or introduce viruses, malware, malicious code, or conduct penetration or security testing without our prior written consent.
• Collect, store, or process personal or confidential data of others through our systems without appropriate authorisation and lawful basis.

Any breach of this Code of Conduct may result in suspension or immediate termination of your access to the Services, without any obligation for refund, in addition to any other remedies available to TechBridge under law or contract.

5. Intellectual Property

All content and materials provided by TechBridge, including but not limited to methodologies, documentation, designs, configurations, code, graphics, logos, and software, are owned by TechBridge or its licensors and are protected by Indian and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Deliverables and related materials solely for your internal business purposes, as agreed in the relevant engagement. You may not copy, distribute, modify, resell, or create derivative works from any material without our prior written consent.

6. Assumption of Risk

NOTICE: Use of IT systems, cloud infrastructure, third-party platforms, and implementation or migration projects inherently involves operational, security, and performance risks, including but not limited to configuration errors, service interruptions, data loss, integration issues, and third-party downtime.

By engaging TechBridge and proceeding with any project or change, you acknowledge and voluntarily accept these inherent technology risks. You confirm that TechBridge has discussed relevant risks at a high level and that you are proceeding based on your own business judgment. You agree to hold TechBridge harmless from claims arising from such inherent technology risks, except where caused by TechBridge’s gross negligence or wilful misconduct, subject to applicable law and the governing contract.

7. Payments and Refunds

All fees for consulting, implementation, and support services will be quoted in Indian Rupees (INR), unless otherwise stated in writing. Payments must be made in accordance with the agreed proposal, purchase order, or statement of work, and in any case before or according to the agreed project milestones.

Refund Policy:

• If a written cancellation of a confirmed engagement is received 30 days or more before the agreed start date, TechBridge may, at its discretion, refund up to 100% of any advance fees paid, subject to deduction of any costs already incurred.

8. Limitation of Liability

To the maximum extent permitted by applicable law, TechBridge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business, data, or goodwill, whether incurred directly or indirectly, arising out of or in connection with the Services, including but not limited to claims resulting from:

• Your access to or use of, or inability to access or use, the Services or Deliverables.
• Any conduct, errors, or omissions of third-party vendors, platforms, or service providers integrated with or used in connection with the Services.
• Any content, recommendations, configurations, or outputs obtained through the Services that you choose to implement in your environment.
• Any unauthorised access to, use of, or alteration of your data, configurations, or transmissions, where TechBridge has implemented reasonable security measures consistent with the relevant engagement.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to any mandatory arbitration or dispute resolution mechanism agreed in writing, any legal action arising out of or relating to these Terms shall be brought exclusively in the competent courts located in Bengaluru, Karnataka, India.

10. Changes to the Terms

We reserve the right, in our sole discretion, to update, modify, or replace these Terms at any time. If a change is material, we will use reasonable efforts to provide at least 30 days’ notice before the new terms take effect. What constitutes a material change will be determined by TechBridge in good faith. By continuing to access or use the Services after revised Terms become effective, you agree to be bound by the updated Terms.
